Job Description:
The Senior Corporate Counsel position reports to the Vice President, Associate General Counsel, Corporate and has responsibility for a broad range of corporate transactional activities.
Essential Functions:
- Provides legal support and leadership for (i) corporate transactions including mergers, acquisitions, and divestitures, (ii) strategic transactions including joint ventures and private equity investments and other commercial arrangements, and (iii) financial transactions including credit facilities, debt offerings, derivatives, reimbursement agreements, and other credit support arrangements.
- Assists with development, maintenance and administration of standard forms, policies and procedures relating to various corporate, strategic and finance transactional matters.
- Coordinates legal due diligence and disclosures relating to corporate, strategic, and finance transactions.
- Supports other corporate transactions including domestic and international subsidiary restructurings, capitalizations, cash repatriation and other financial transactions.
- Works collaboratively and creatively with cross-functional corporate team and business units and provides broad spectrum legal support in identifying and mitigating risk issues relating to corporate, strategic, and finance transactions.
- Reviews, analyzes and keeps current on domestic and international legal developments relevant to areas of responsibility.
- Identifies development/training opportunities and assists in educating internal customers in matters relevant to areas of responsibility.
- Ability to travel to CHQ office in Melbourne, FL (if working remotely) and to other locations to support transactions as required. Anticipated to be <20% of time.
Qualifications:
- Juris Doctor from ABA-accredited law school and Bachelor’s degree from accredited college or university.
- Membership in good standing of the Florida Bar, or ability to register as a Florida in-house counsel.
- 5-10 years of experience handling transactional matters as a lawyer practicing in a law firm and/or in the legal department of a public or private company.
Preferred Additional Skills:
- Law Firm or in-house experience relating to M&A, Finance, and/or Venture Capital Investments gained at a top law firm, or Fortune 500 in-house legal department.
- Problem solver oriented towards finding practical solutions and providing practical guidance.
- Strong oral and written communication, presentation, training, organizational, and teamwork skills.
- Self-motivated, detail-oriented, adaptable, innovative and able to provide high-quality and timely work product.
- The ability to manage a large number and variety of mission-critical projects, working independently and often in an ambiguous environment utilizing sound and practical business judgment as well as common sense.
- Embraces a strategic, proactive approach in supporting organizational priorities by identifying, actively pursuing, and closing issues affecting the business.
- Reliable partner to internal clients, solutions orientated and comfortable interfacing with executive management.
