Job Description:
The Legal Specialist will assist the Corporate Transaction attorneys in the delivery of legal services. This position will have the opportunity to work collaboratively and creatively with cross functional corporate team and business units and provide broad spectrum of support including drafting legal documents under attorney supervision and providing project management and organizational support for a wide range of corporate transactions.
Essential Functions:
- Prepare Secretary’s Certificates, powers of attorney, board resolutions, formation, merger and other legal documents under supervision of attorney.
- Draft and negotiate confidentiality agreements, and other ancillary transaction documents under supervision of attorney.
- Coordinate legal due diligence and disclosures relating to corporate and finance transactions.
- Assist with development, maintenance and administration of standard forms, policies and procedures relating to various corporate and finance transactional matters.
- Maintain repository of corporate transactional documents and provide relevant information to internal customers upon request.
- Review, analyze and keep current on domestic and international legal developments relevant to areas of responsibility.
- Identify development/training opportunities and assist in educating internal customers in matters relevant to areas of responsibility.
Qualifications:
- Bachelor's with 4 years prior experience, 2 year post-secondary/AA Degree and 8 years prior experience or Graduate Degree with 2 years of prior related experience. In lieu of a degree, minimum of 8 years of prior related experience.
Preferred Additional Skills:
- Experience handing transactional matters as a corporate paralegal or equivalent in a major law firm and/or in the legal department of a public company.
- Strong oral and written communication, presentation, project management, organizational, and teamwork skills.
- Self-motivated, detail-oriented, adaptable, innovative and able to provide high-quality and timely work product.
- Ability to manage multiple projects and work successfully in a fast-paced environment under time deadlines.
- Problem solver oriented towards finding practical solutions and providing practical guidance.
- Ability to interact effectively with local and global managers and executives.
