Lead, Counsel - Government & Commercial Contracts
Job Description:
We are currently seeking an attorney with strong experience in government and commercial contracts and a passion for meeting client needs to provide legal support to the Integrated Mission Systems (IMS) segment.
Essential Duties & Responsibilities:
- Provide accurate, timely, business-oriented legal advice to all levels of company and IMS management in connection with obtaining and performing contracts and subcontracts on U.S. Government programs, with an emphasis on FAR and DFARS compliance.
- Advise company management on international pursuits and contract performance, as well as commercial activities and a wide variety of other legal matters facing the company.
- Advise Supply Chain management teams on drafting and updating purchase orders, terms and conditions, supply agreements and related documents.
- Participate in negotiations and contract drafting as requested.
- Assist in the prevention of disputes and litigation by proactive, early involvement and mediation in business transactions; manage disputes and related litigation.
- Ensure that business practices and procedures comply with Federal, State and local laws and are consistent with applicable Corporate policies and procedures.
- Engage with customer/supplier counterparts as reasonably required in support of complex legal/business transactional matters.
- Maintain a high level of proficiency on current laws and implementing regulations and coordinate with IMS staff to develop and deliver timely training, as needed.
Qualifications:
- A Juris Doctorate degree from an accredited law school with at least one state bar membership.
- Seven or more (7+) years of directly transferable experience on U.S. Government contract and commercial contract matters.
- Must be willing & able to obtain a DoD security clearance if needed in the future.
- Domestic and international travel, as required up to 10%.
- Possess sound judgment, an ability to prioritize, and be capable of working successfully in a dynamic team environment.
- Possess superior communication and writing skills.
- Must be able to clearly and effectively communicate with all levels of management and Government agency personnel, including DCAA and DCMA.
Preferred Qualifications:
- Possess in-depth knowledge of the FAR/DFARS as well as those requirements unique to contracting with the Government (e.g., CAS, TINA, SCA).
- Experienced in proposal development, negotiations, contract performance and dispute resolution in connection with Government, international and commercial programs.
- Experienced in international business development, contracting and regulatory compliance matters, including ITAR, EAR, FCPA, and trade compliance regulations.
